1)     Terminology

Improveo (or this Application)

The property that enables the provision of the Service.

Agreement

Any legally binding or contractual relationship between the Owner and the User, governed by these Terms.

Business User

Any User that does not qualify as a Consumer.

European (or Europe)

Applies where a User is physically present or has their registered offices within the EU, regardless of nationality.

Owner (or We)

Indicates the natural person(s) or legal entity that provides Improveo and/or the Service to Users.

Service

The service provided by Improveo as described in these Terms and on Improveo.

Terms

All provisions applicable to the use of Improveo and/or the Service as described in this document, including any other related documents or agreements, and as updated from time to time.

User (or You)

Indicates any natural person or legal entity using Improveo.

Consumer

Any User qualifying as a natural person who accesses goods or services for personal use, or more generally, acts for purposes outside their trade, business, craft or profession

Members and Visitors

When you register and join the Improveo Platform Services, you become a Member. If you have chosen not to register for our Services, you may access certain features as a “Visitor.”

 

2)     The services we Provide

a.       Our mission

We consider that with the right approach anything can be improved.

Our mission is to provide ways for executives to improve their business.

 

b.      Our services

To fulfil our mission, we provide the following services:

·         Library of Management Publications:

o    The library provides a wide variety of Case studies, White papers, Insights, Videos to help you to stay current, learn and get improvement ideas for your business

·         Detailed Consulting Firms profiles

o    The profiles detail a complete set of information about consulting firms to identify who are the best consultants for your needs

o    Information includes value proposition, offerings, footprint, key people, case studies, feedbacks from former clients and more

·         Connection with a community of professionals

o    You can follow, get followed and interact with other professionals sharing the same interests

·         Curated content matching your preferences

o    You define in your settings your centers of interest and we do our best to help you to discover new content in your predilection field.

·         Professional events and communities

o    Both companies and communities can organize live events and invite the members to attend

 

3)     How our services are funded

Improveo is free for the members and the visitors. We generate funds via three primary activities

 

a.       Premium profiles

Companies have the possibility to enrich their profiles either themselves or via services we provide. This can include badges and verifications (i.e., background checks) to increase their differentiation. We also provide on-boarding services that can be used with multiple companies.

 

b.      Ads

We show you on a non-intrusive basis ads presenting services and solutions that could be of interest to you. We show you ads about services and solutions of your interest in the most non-intrusive way possible. We only accept advertisements from carefully selected advertisers that we deem relevant for a professional audience.

 

c.       Integrations

Improveo can be integrated with third party applications using the information available on the site. Those applications can include procurement applications, performance management applications, job boards or marketplaces.

 

Privacy is at the core of our values, we do not sell and will not ever sell your data to any third party.

 

4)     Agreement to terms

These Terms of Service constitute a legally binding agreement between you, individually or on behalf of an entity ("you"), and the Owner ("we," "us," or "our") regarding your access to and use of the Site and App, as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Service").

 

You acknowledge that by using the Service, you have read, comprehended, and consent to be bound by these whole Terms of Service. If you do not agree with these Terms of Service in their entirety, you are strictly barred from using the Service and must immediately terminate use.

 

Additional Terms of Service or documents that may from time to time be posted on the Site or the App are expressly incorporated herein by reference. We reserve the right, at any time and for any cause, to alter or amend these Terms of Service at our sole discretion.

 

We shall notify you of any changes by revising the "Last updated" date at the top of these Terms of Service, and you waive any right to obtain explicit notice of each change other than as provided above or on the Site or App.

 

You are responsible for frequently reviewing these Terms of Service for any modifications. By continuing to use the Site and the App after the date on which the updated Terms of Service are posted, you agree to be bound by and deemed to have been made aware of and to accept the modifications made to the Terms of Service.

 

This information is not intended for distribution to or use by any individual or organization in any jurisdiction or country where such distribution or use would be contrary to law or regulation or would subject us to any registration obligation within such jurisdiction or country.

 

Those who access the Service from other areas do so voluntarily and are solely responsible for compliance with local laws, if and to the extent local laws are relevant.

 

If any provision or portion of a provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision or portion of the provision shall be deemed severable from these Terms of Service and shall not affect the validity and enforceability of the remaining provisions.

 

These Terms of Service and your use of the Service do not establish any joint venture, partnership, employment, or agency arrangement between you and us. You agree that these Terms of Service will not be interpreted against us merely because we drafted them.

 

You hereby waive any and all defenses based on the electronic form of these Terms of Service and the absence of a signature by the parties to execute these Terms of Service.

 

5)     Our right and duties

a.       Service availability

To guarantee the highest quality of service possible, the Owner reserves the right to stop the Service for maintenance, system updates, or other modifications, while notifying Users as necessary.

Within legal constraints, the Owner may also suspend or discontinue the Service entirely. If the Service is terminated, the Owner will assist Users in withdrawing their Personal Data or other information in line with applicable law.

In addition, the Service may be unavailable for reasons beyond the Owner's control, such as "force majeure" (eg. labor actions, infrastructural breakdowns or blackouts etc).

We cannot guarantee that any information and content that you have posted will be permanently stored or displayed. Improveo does not provide storage services. You agree that we have no duty to retain, preserve, or furnish you with a copy of any content or information that you or others contribute, except as required by applicable law and as described in our Privacy Statement.

 

b.      Privacy

We value your privacy and believe that you should have control over it.

We will adhere to your privacy preferences to the letter.

We collect some data to optimize your experience. to comprehend what information we acquire, how it is utilized, and how it is shared. Therefore, we urge you to review our Privacy Policy. In our Privacy Statement, we describe how we gather and utilize information.

 

c.       Preferences

We wish to offer our members a highly customized experience. You can configure your preferences using the options. This will allow us to customize what you see in your feed.

 

We will also occasionally use information and data that you provide to suggest topics, features and follow suggestions that you can choose to include or exclude from your choices.

 

d.      Trust

We strive for precision and veracity. We update a substantial portion of the material on Improveo regarding consulting businesses ourselves. The information supplied is statistically verified. Inaccurate information may result in disqualification from Improveo.

 

Consulting firms cannot influence the ratings provided by their former clients. Reviews need to represent a significant enough volume of activity to meet our submission requirements. Reviews are also statistically evaluated to guarantee compliance with our standards and guidelines. We reserve the right to reject any reviews we deem to be suspicious or not fitting our criteria.

 

e.      Third party content

The Service may contain links to other websites ("Third-Party Websites"), or you may be sent links to other websites via the Service, as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items that belong to or originate from third parties ("Third-Party Content").

 

Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked by us for accuracy, appropriateness, or completeness, and we are not liable for any Third-Party Websites accessed through the Service or any Third-Party Content posted on, available through, or installed from the Service, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content.

 

Inclusion of, linking to, or allowing the use or installation of Third-Party Websites or Third-Party Content does not constitute our approval or endorsement of such sites or content. If you leave the Service and access Third-Party Websites or use or install Third-Party Content, you do so at your own risk and should be informed that these Terms of Service no longer apply.

 

You should evaluate the applicable terms and policies, including data collection and privacy practices, of any website to which you navigate from the Service or any applications you use or install from the Service. Any purchases you make through Third-Party Websites will be made through other websites and from other firms; we assume no responsibility for such transactions, which are solely between you and the relevant third party.

 

You agree and understand that we do not endorse the products or services offered on Third-Party Websites, and you agree to hold us blameless for any damages resulting from your purchase of such items or services. In addition, you agree to hold us harmless from any damages you incur or harm you suffer as a result of your use of Third-Party Content or contact with Third-Party Websites.

 

f.        Modifications and interruptions

We reserve the right, at our sole discretion, to alter, amend, or eliminate the contents of the Service at any time and for any reason. Nonetheless, we are not required to update any information on the Service. We have the right to limit, alter or discontinue the Service, in whole or in part, at any time and without notice.

 

For any modification, price change, suspension, or discontinuation of the Service, we shall not be liable to you or any third party.

 

We cannot guarantee that the Service will always be accessible. We may encounter hardware, software, or other issues, or be required to perform maintenance on the Service, which may result in service interruptions, delays, or errors.

 

We reserve the right to alter, edit, update, suspend, discontinue, or otherwise modify the Service at any time and for any reason. You acknowledge that we have no liability for any loss, damage, or annoyance inconvenience resulting from your inability to access or use the Site during such outage or service discontinuation.

 

Nothing in these Terms of Service shall be understood as obligating us to maintain and support the Service or to provide corrections, updates, or releases related thereto.

 

6)     Your rights and duties

a.       Eligibility

Improveo is a professional community.

The Services are not for use by anyone under the age of 18.

To use the Services, you agree to the following conditions:

(1) you must be at least the "Minimum Age" (specified above) or older;

(2) you will have only one Improveo account, which must be in your true name; and

(3) you are not prohibited from using the Services by Improveo.

It is a violation of our terms to create an account with false information, including accounts created on behalf of others or by minors.

 

b.      Account

To use the Service, Users may register for or create user accounts by giving accurate and complete information for all requested data or information.

Users can access the Service without signing up for an account (as a Visitor), however this may limit the availability of some features or functions.

Users are in charge of maintaining the security and confidentiality of their login information. Users must also select passwords that adhere to the strictest security requirements allowed by Improveo for this reason.

By signing up, Users consent to being entirely accountable for all actions taken with their username and password.

If Users believe their personal information, including but not limited to User accounts, access credentials, or personal data, has been compromised, inappropriately exposed, or stolen, they must promptly and unambiguously notify the Owner via the contact information listed in this article.

We reserve the right to suspend or terminate your account and prohibit any and all current or future use of the Service in the event that you provide any information that is untrue, inaccurate, out-of-date, or incomplete (or any portion thereof).

 

c.       Contributions

The Service may allow you to produce, submit, post, display, transmit, perform, publish, distribute, or broadcast text, writings, video, audio, pictures, graphics, comments, recommendations, or personal information. The Service may invite you to join in chats, blogs, message boards, online forums, and other features (collectively, "Contributions").

 

Other Site users and third-party websites may be able to view contributions. Any Contributions you send could therefore be considered non-confidential and non-proprietary. You represent and warrant that:

• the creation, distribution, transmission, public display or performance, as well as the accessing, downloading, or copying of your Contributions, do not and will not violate the proprietary rights, including but not limited to copyright, patent, trademark, trade secret, or moral rights, of any third party.

• you are the creator and owner of your Contributions, or you have the appropriate licenses, rights, consents, releases, and permissions to use and permit us, the Service, and other Service users to use your Contributions in any way envisioned by the Service and these Terms of Service.

• you have the written approval, release, or permission of every identifiable individual in your Contributions to use their name or likeness to permit inclusion and use of your Contributions in any manner contemplated by the Service and these Terms of Service.

• your Contributions are not false, inaccurate, or deceptive.

• your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.

• your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable.

• your Contributions do not depict violence, threats of violence, or criminal activity.

• your Contributions do not advocate, incite, encourage, or threaten physical damage against others;

• your Contributions do not violate any relevant law, regulation, or rule; and

• your Contributions do not violate the privacy or publicity rights of any third party.

• your Contributions do not solicit personal information from anybody under the age of 18 or exploit anyone under the age of 18 in a sexual or violent manner.

• your Contributions do not violate any federal or state law regarding child pornography, or any other law intended to protect the health or safety of minors;

• your Contributions do not otherwise violate, or link to content that violates, any provision of these Terms of Service, or any applicable laws, rules, or regulations.

 

Any unauthorized use of the Service may result in termination or suspension of your rights to use the Service as well as removal or deletion of your Contributions.

 

d.      Advertisers

We may sometimes let advertisers put their ads and other information in certain parts of the Service, such as sidebar ads, sponsored posts or banner ads.

 

If you're an advertiser, you're fully responsible for any ads you put on the Service, as well as for any services you offer on the Service or products you sell through those ads.

 

Also, as an advertiser, you promise and guarantee that you have all the rights and permissions you need to put ads on the Service. This includes, but is not limited to, intellectual property rights, publicity rights, and contractual rights.

 

As an advertiser, you agree that these ads are covered by our Digital Millennium Copyright Act ("DMCA") Notice and Policy, which is explained below. You also understand and agree that DMCA takedown issues won't get you a refund or any other kind of compensation. We just give advertisers space to put their ads, and we have no other relationship with them.

 

e.      Notices and Messages

You agree that we can send you notices and messages in the following ways:

1) through the Service, or

2) to the address you gave us (e.g., email, mobile number, physical address).

You agree to make sure that your contact information is always correct.

 

f.        Intellectual property

Without limiting any other part of these Terms, any intellectual property rights related to Improveo, such as copyrights, trademark rights, patent rights, and design rights, are the sole property of the Owner or its licensors and are protected by applicable intellectual property laws and international treaties.

All trademarks, whether they are literal or figurative, and all other marks, trade names, service marks, word marks, illustrations, images, or logos that appear in connection with Improveo are and will remain the exclusive property of the Owner or its licensors and are protected by intellectual property laws and international treaties.

You agree that any questions, comments, suggestions, ideas, feedback, or other information you send us about the Service ("Submissions") are not confidential and become our property. We will own all rights, including intellectual property rights, and will be able to use and share these Submissions for any legal reason, commercial or not, without giving you credit or paying you anything.

You give up all moral rights to any such Submissions, and you promise that any such Submissions are your own or that you have the right to send them. You agree that you won't be able to sue us if your Submissions are allegedly or actually used in a way that violates or steals your rights.

 

g.       Prohibited activities

You are not permitted to access or use the Service for any purpose other than those for which it is intended.

You agree not to, as a user of the Service:

·         access the Service using automated or non-human means, such as a bot, script, or other program;

·         utilize the Service for any unlawful or prohibited purpose;

·         breach of any applicable law or regulation when using the Service

·         extract data or other content from the Service in order to establish or compile, directly or indirectly, a collection, compilation, database, or directory, without our prior written consent.

·         make any unauthorized use of the Service, such as gathering usernames and/or email addresses of users using electronic or other means for the purpose of sending unsolicited email, or creating user accounts through automated means or false pretenses.

·         use a purchasing agent, buying agent, or other agency to make purchases or post material to the Site or the App.

·         use the Service to market or offer to sell goods and services in a manner that diminishes the user experience, such as by posting off-topic responses to other users' Contributions, or that appears inconsistent with any relevant law, regulation, or professional standard.

·         bypass, deactivate, or otherwise interfere with security-related features of the Service, including features that prevent or restrict the use or copying of any Content or enforce usage limitations for the Service and/or its Content.

·         engage in unlawful framing of the Service or linking to it.

·         deceive, swindle, or mislead us or other users, particularly in an attempt to discover sensitive account information such as user passwords.

·         utilize our support services improperly or file fraudulent accusations of abuse or wrongdoing.

·         engage in any automated use of the system, including the use of scripts to send comments or messages or the use of data mining, robots, or similar data collection and extraction techniques.

·         interfere with, disrupt, or impose an unreasonable load on the Service or the networks or other services linked to the Site or Application.

·         attempt to assume the identity of another user or person, or use the user name of another Service user.

·         sell or transfer your profile or account in another manner.

·         use any information obtained from the Service to harass, abuse, or otherwise harm another user.

·         utilize the Service in an effort to compete with us, or use the Service and/or the Content for any other revenue-generating or commercial purpose.

·         decrypt, decompile, disassemble, or otherwise reverse-engineer any software comprising or in any way constituting a part of the Service.

·         attempt to circumvent any Service measures intended to prevent or restrict access to the Service or any portion of the Service.

·         You may not harass, intimidate, or threaten any of our employees or agents involved in supplying you with any aspect of the Service.

·         remove the indication of copyright or other proprietary rights from all Content.

·         duplicate or modify the Service's software, including Flash, PHP, HTML, JavaScript, and other code.

·         upload or transmit (or attempt to upload or transmit) viruses, Trojan horses, or other material that interferes with the uninterrupted use and enjoyment of the Service by any party, or that modifies, impairs, disrupts, alters, or interferes with the Service's use, features, functions, operation, or maintenance.

·         upload or transmit (or attempt to upload or transmit) any content that operates as a passive or active information collecting or transmission mechanism, including clear graphics interchange formats ("gifs"), 11 pixels, web bugs, cookies, or other similar devices; (sometimes referred to as "spyware" or "passive collection mechanisms" or "pcms").

·         use, create, develop, or distribute any automated system, including, but not limited to, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or use or launch any illegal script or other software.

·         infringe the copyright of any works owned or controlled by a third party.

·         utilize the Service in violation of any relevant laws or regulations.

·         attempting to sell, purchase, or solicit other forms of money in exchange for usernames on the Site or App.

·         post offensive or pornographic content on the Site or App

 

h.      Permissions you give us

·         Permission to use content you create and share.

o    You maintain ownership of the intellectual property and may freely distribute it to whoever you choose. However, you grant us a non-exclusive permission to distribute your content (with respect to your privacy settings). The license will expire with the removal of the content from our system.

·         Permission to inform creators when you read their contents.

o    On a statistical basis, authors are informed of the number of visitors to their content. When you download materials from consulting firms, they have access to the information and may contact you for feedback or propose to join their newsletter. You have no obligation to accept to continue to use the service. This prevents having gated content on the platform and improves the experience.

·         Permission to use your activities with your network

o    You can define in your settings what you want to share or not with your network.

 

 

7)     Additional provisions

a.       Updating our terms and conditions

The Owner maintains the right to modify or alter these Terms in any way at any time. In such situations, the Owner will notify the User appropriately of these modifications.

These modifications will only effect the User's connection in the future.

Continued use of the Service indicates acceptance of the amended Terms by the User. Users who do not intend to be bound by the modifications must discontinue use of the Service. The agreement may be terminated by either party if the updated terms are not accepted.

Prior to the User's acceptance, the relationship shall be governed by the version in effect prior to the User's acceptance. The Owner can provide any prior version to the User.

If required by applicable legislation, the Owner will indicate when the updated Terms will become effective.

 

b.       Assignment of contract

Taking into account the User's legitimate interests, the Owner reserves the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these Terms. Accordingly, the provisions addressing revisions to these Terms will apply.

Users may not assign or transfer their rights or duties under these Terms without the Owner's prior written consent.

 

c.       Account suspension and termination

Either you or we may terminate this Agreement at any time by providing written notice to the other. Upon termination, you lose access to and use of the Services.

 

These Terms of Service shall remain in full force and effect while you use the Service. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF SERVICE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF SERVICE OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICE OR DELETE [YOUR ACCOUNT AND] ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

 

If your account is terminated or suspended for any reason, you are banned from registering and creating a new account under your identity, a fictitious or borrowed name, or the name of a third party, even if you are acting on behalf of the third party.

 

In addition to cancelling or suspending your account, we reserve the right to pursue civil, criminal, and injunctive remedy, as well as any other necessary legal action.

 

d.      Monitoring and restrictions

We may, but are not obligated to:

(1) monitor the Service to make sure no one is breaking the rules;

(2) take legal action against anyone who, in our sole discretion, breaks the law or these Terms of Service, including without limitation, reporting such user to law enforcement authorities;

(3) refuse, restrict access to, limit the availability of, or disable (to the extent technologically possible) any content, features, or functionality of the Service, in whole or in part, at any time and for any reason;

(4) remove from the Service or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems in our sole discretion and without limitation, notice, or liability;

(5) otherwise manage the Service in a manner designed to protect our rights and property and to facilitate the proper functioning of the Service.

 

e.      Copyrights infringement

We respect the rights of others to their own intellectual property. If you think that any of the content on or through the Service violates a copyright that you own or control, please contact us right away using the information below (a "Notification"). The person who posted or saved the material you are complaining about will get a copy of your Notification.

Please be aware that, according to federal law, you could be sued for damages if you lie about something important in a Notification. So, if you aren't sure if something on the Service or linked to by the Service violates your copyright, you might want to talk to an attorney first.

 

f.        Disclaimer of Warranties

Improveo is offered on a strict "as is" and "as available" basis. Users use the Service at their own risk. The Owner expressly disclaims all conditions, representations, and warranties, whether express, implied, statutory, or otherwise, including, but not limited to, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights, to the maximum extent permitted by applicable law. No oral or written advice or information, whether from the owner or through the Service, shall create any warranty not expressly expressed above.

The Owner, its subsidiaries, affiliates, licensors, officers, directors, agents, co-branders, partners, and employees make no warranty that the content is accurate, reliable, or correct; that the Service will meet Users' requirements; that the Service will be available at any particular time or location, uninterrupted or secure; that any defects or errors will be corrected; or that the Service is free of viruses or other harmful components. Any content downloaded or otherwise acquired through the use of the Service is done so at the user's own risk, and the user is entirely responsible for any damage to his or her computer system or mobile device or loss of data that results from such a download or from the use of the Service.

The Owner does not warrant, endorse, guarantee, or assume responsibility for any third-party product or service advertised or offered through the Service or any hyperlinked website or service, and the Owner shall not be a party to or in any way monitor any transaction between Users and third-party providers of products or services.

It is possible for the Service to become inaccessible or to malfunction with the web browser, mobile device, and/or operating system of a User. The owner is not liable for any perceived or actual damages resulting from the Service's content, operation, or use.

Certain states, the federal government, and other jurisdictions prohibit the exclusion and modification of certain implied guarantees. The exclusions listed above may not apply to Users. This Agreement provides Users with specific legal rights, and Users may also have state-specific rights. This agreement's disclaimers and exclusions shall not apply to the extent prohibited by relevant legislation.

 

g.       Limitations of liability

To the extent authorized by relevant legislation, the Owner, its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, and employees shall in no case be liable for:

·         any indirect, punitive, incidental, special, consequential, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or related to the use of or inability to use the Service; and

·         any damage, loss, or injury caused by hacking, tampering, or other unauthorized access to or use of the Service or User account or the information in them;

·         any mistakes or wrong information in the content;

·         any kind of personal injury or property damage caused by a user's access to or use of the Service;

·         any unauthorized access to or use of the Owner's secure servers and/or any personal information stored on them;

·         any break or stoppage in transmission to or from the Service;

·         any bugs, viruses, trojan horses, or other similar things that could be sent to or through the Service;

·         any errors or omissions in any content or for any loss or damage caused by the use of any content posted, emailed, transmitted, or otherwise made available through the Service; and/or

·         the actions of any User or third party that are defamatory, offensive, or against the law. In no case shall the Owner, its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers, and employees be liable for any claims, proceedings, liabilities, obligations, damages, losses, or costs that exceed the amount paid by the User to the Owner under this agreement in the previous 12 months or the length of this agreement between the Owner and the User, whichever is shorter.

 

This section on limiting liability applies to the fullest extent allowed by law in the relevant jurisdiction, whether the alleged liability is based on a contract, a tort, negligence, strict liability, or any other basis, and even if the company knew that such damage could happen.
